Kevin Martyn
Chairman of the Board

Mr. Martyn founded Genoa Healthcare in 2002 as a solution to a problem: the mental health community was not getting the specialized pharmacy services that it needed. His passion to enrich the quality of life for people with mental disorders has fueled Genoa's rapid growth. Today, the company serves patients in more than 20 states.

Mr. Martyn has a strong leadership record and 16 years of experience in the building, managing, acquisition and turnaround of pharmacies in the long-term care, mail order and specialty markets. He began his industry career in 1989 as an accountant with Evergreen Pharmaceuticals, an institutional pharmacy serving the nursing home industry. His leadership at Evergreen drove the successful re-engineering of the company's accounting systems, resulting in significant cash inflows and ultimately a sale to Omnicare Inc.

In 1992, Mr. Martyn became the chief financial officer for Clinical Health Systems (CHS), where he led the successful turnaround of a $40 million network of institutional pharmacies. He also served as the lead negotiator in the sale of CHS to NCS Healthcare Inc. He then became vice president of NCS Healthcare's specialty pharmacy division, where he led the transformation of this business from a local hemophilia-factor provider to a nationwide provider of hemophilia factor, mental health services, AIDS medications and respiratory products. During this time, Mr. Martyn also successfully led a coalition of specialty providers that ultimately gained a reversal of previously made changes to Medicare reimbursement policies.

Mark J. Peterson, R.Ph
Director

Mr. Peterson joined Genoa Healthcare in December 2003, bringing with him extensive experience in building and operating healthcare and technology companies. He is responsible for Genoa's sales, marketing, business and corporate development. He also serves as a board member.

Mr. Peterson was previously senior vice president of marketing and data services with HealthNexis LLC, a healthcare technology and services company acquired in 2001 by Global Healthcare Exchange. HealthNexis' charter was to unite healthcare with technology to improve collaboration between healthcare trading partners and eliminate inefficiencies in the supply chain. In addition to marketing and data services, Mr. Peterson's responsibilities included product management, diversification opportunities, strategic merger/acquisition opportunities and competitive intelligence.

Prior to HealthNexis, Mr. Peterson was co-founder and COO of Embion, Inc., a supply-chain management company providing procurement automation for medical clinics. He identified the business opportunity, developed the business model, secured private financing, staffed the company, and developed and managed the execution of corporate plans. The company was sold to Encounter Care Services Inc.

Prior to Embion, Mr. Peterson held various leadership roles with the specialty pharmacy at Chronimed and the outcomes and clinical trials business unit at United HealthGroup's Ingenix. Mr. Peterson holds a Bachelor of Science in pharmacy from the University of Minnesota. His pre-pharmacy coursework at the College of Saint Thomas in St. Paul, Minnesota, includes a computer science emphasis.

John T. Carleton
Director

Since 1995, Mr. Carleton has been senior vice president of Benaroya Capital Company, a private investment company located in Seattle, Washington. He serves on the boards of Zones Inc. (ZONS), Prepared Response, Broadstream Communications, Avalara, Biopassword, Pacific Star Communications and Delafield Hambrecht.

Prior to joining Benaroya, Mr. Carleton served as senior vice president of GE Capital Equity Capital Group Inc. in Stamford, Conn. Previous to that he was vice president of acquisitions at the Dyson-Kissner-Moran Corporation in New York City.

Mr. Carleton graduated from Williams College in 1966 and earned his master's degree from The Fletcher School of Law and Diplomacy. He spent three years as an officer in the U.S. Navy.

David Eisler
Director

Mr. Eisler is a Partner with Banyan Capital Partners located in Vancouver, British Columbia. Banyan is a private equity firm that invests in and buys middle market companies located in western Canada and the northwestern United States.

Prior to Banyan, David spent several years in investment banking with Scotia Capital Inc. where he assisted clients on initial public offerings, mergers and acquisitions, and equity and debt financings in a variety of industries. Mr. Eisler also worked for many years with a private company that grew to have over $800 million in sales.

Mr. Eisler has a degree in Engineering from Queen's University, an MBA from the University of British Columbia and is a Professional Engineer. Mr. Eisler is a partner in BCT-SVP, which is a charitable foundation that provides assistance to not-for-profit organizations. Mr. Eisler is currently a director of Fios, Inc., Genoa Healthcare LLC, ISR, Inc., Q'Max Solutions Inc. and the Take a Hike Foundation. He is a past director of Bevo Agro Inc. and DTI Dental Technologies Inc.

Kevin Gabelein
Director

Mr. Gabelein is a managing director of Fluke Venture Partners (FVP), a venture capital fund based in Bellevue, Wash. Mr. Gabelein currently serves on the boards of Phoseon Technology Inc. and Genoa Healthcare Holdings, LLC.

Mr. Gabelein joined FVP in 1997 and shares responsibility for deal flow generation, due diligence, deal structuring and portfolio management. FVP is one of the oldest venture capital funds in the Pacific Northwest. It invests in early stage high-growth companies in the fields of information technology, healthcare, specialty retail and business, and consumer services.

Previously, Mr. Gabelein practiced corporate and securities law in the corporate finance group of Riddell Williams P.S. in Seattle. At Riddell Williams, Mr. Gabelein represented numerous companies ranging from start-ups to publicly traded companies, primarily in the Internet, software and communications markets. He was also a Certified Public Accountant and practiced with the Seattle office of PricewaterhouseCoopers LLP.

Mr. Gabelein received a degree in business administration from the University of Washington, and holds his J.D. from the Southern Methodist University School of Law. He currently serves as Chairman of the Board of CRISTA Ministries and also serves as a board member for Passage Events and Promotions, Inc.

Kevin H. Roche
Director

Mr. Roche is owner of Roche Consulting LLC, a general business consulting firm that provides capital raising, legal services, mergers and acquisition services, healthcare reimbursement and other business advice to clients. He serves as vice president of development for BIOVIRx, a start-up bio-pharmaceutical firm, and as chief executive officer of Kinexum Development LLC, which develops and commercializes various therapeutic agents and diagnostics.

Mr. Roche has held a variety of senior executive and legal positions with healthcare companies such as Unitedhealth Group, Partners National Health Plans and American Medcenters Inc. His experience also includes several years as assistant attorney general of Minnesota.

Mr. Roche currently serves on the boards of BIOVIRx Inc., StentTech Inc., Tactile Systems Inc., and Resiant Networks Inc. He earned his law degree from the University of Minnesota Law School and holds a master's degree in business administration from the University of Minnesota's Carlson School of Business.

Alan E. Schabes
Director

Alan Schabes is a partner and member of the Executive Committee of Benesch, Friedlander, Coplan & Aronoff LLP, where he focuses his practice on healthcare law, including the representation of long-term care and residential care facilities; health care private equity and venture capital investment firms; physician groups; integrated delivery systems; institutional pharmacy companies, ancillary service providers, and health maintenance organizations, and preferred provider organizations in connection with Medicare and Medicaid reimbursement matters; fraud and abuse; asset and stock acquisitions; financing and joint venture formation.

Mr. Schabes served as the co-general editor and as a contributing editor of The Long Term Care Handbook, Third Edition, published in 2006 by the American Health Lawyers Association. In addition, Mr. Schabes has published numerous healthcare-related articles in national publications and has spoken nationally on a variety of healthcare topics.

Mr. Schabes earned a degree in business administration from Duquesne University and holds a J.D. from Hofstra University.
